WASH ME INC. STANDARD TERMS OF SERVICE

1. Upon client’s execution of the Service Order, Wash Me we will perform only those services set forth in the Service Order. Any additional services requested must be set forth in writing and signed by the Client and will be subject to additional charges. Wash Me will use commercially reasonable efforts to perform the services in accordance with any schedule set forth in the Service Order but cannot guarantee to comply with any schedule. Wash me will use commercially reasonable efforts to notify the Client of any schedule change. Once the Service Order is signed by the Client it cannot be cancelled. Client will give Wash Me access to Client’s property to perform the services. Wash Me will not be liable for any delay or failure in the performance of the Service Order by reason of such delay or failure, if such delay or failure is directly or indirectly caused by, or in any manner arises from, fires, floods, accidents, civil unrest, acts of God, labor difficulties, shortages of materials or supplies, or any other cause or causes beyond Wash Me’s control.

2. Client agrees to pay for the services upon completion of the services or the payment date stated in the Service Order. Overdue amounts shall bear interest at the rate of eighteen percent (18%) per annum until paid in full. If Wash me must take legal action to collect any fees, the Client shall reimburse Wash Me for its cost of collection, including attorneys’ fees.  Client shall indemnify, defend and hold Wash Me harmless from and against any claim for personal injury to Wash Me’s employees or agents, or damage to Wash Me’s property, arising from Client’s gross negligence or willful misconduct.

3. Wash Me warrants that it shall perform the services in a good and workmanlike manner. Wash Me does not guarantee that the Client will be satisfied with the results of the services. If Wash me agrees that it has breached this warranty, Wash Me’s sole obligation, and Client’s sole remedy, shall be for Wash Me to reperform the services at no additional change to Client. Client acknowledges that performance of the services may reveal pre-existing conditions in Client’s property that were not previously discoverable. Wash Me is not responsible for such pre-existing conditions. EXCEPT AS SET FORTH IN SECTION 3, WASH ME MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES AS TO MERCHANTABILITY OR AS TO THE FITNESS OF THE SERVICES FOR ANY PARTICULAR USE OR PURPOSE.  CLIENT’S EXCLUSIVE REMEDIES ARE SET FORTH IN SECTION 3 AND WASH ME SHALL NOT BE LIABLE FOR INCIDENTAL AND/OR CONSEQUENTIAL DAMAGES ARISING THEREFROM. WASH ME’S LIABILITY FOR ANY DIRECT DAMAGES TO CLIENT’S PROPERTY OR PERSONAL INJURY AS THE SOLE RESULT OF THE SERVICES SHALL BE LIMITED TO THE AMOUNTS ACTUALLY RECEIVED BY WASH ME FOR THE SERVICES GIVING RISE TO THE CLAIM FOR DAMAGES.

4. Client agrees to allow Wash Me to utilize any photos, descriptions, reviews, quotes, texts or videos of the property and/or the services for marketing purposes. Client further agrees to allow Wash me to send notifications and messages (e-mail, text, etc.) regarding promotions or services.

5. The Service Order shall be construed and enforced in accordance with the internal laws of the State of Massachusetts.  The federal and/or state courts of Massachusetts shall have exclusive personal and subject matter jurisdiction over, and the parties each hereby submit to the venue of such courts with respect to, any dispute arising pursuant to this order, and all objections to such jurisdiction and venue are hereby waived.  Client consents to service of process permitted under Massachusetts law or by certified mail, return receipt requested. The parties hereto are independent contractors.  Nothing herein shall create the relationship of employer and employee, partnership, principal and agent, or joint venture.  The Service Order incorporating these terms is the complete and exclusive statement of the agreement between the parties, and supersedes all prior proposals and understandings, oral or written, relating to the subject matter of the Service Order, and may be amended only by a writing executed by the parties.
